• Closed large ground lease freestanding coupon lease portfolio containing 5 national tenant ground leases, including financing and due diligence.

• Facilitated, drafted and negotiated thousands of commercial leases for clients, including face to face negotiations for space ranging in size from under 1,000 feet to greater than 100,000 square feet.

• Completed leases for tenants in connection with large scale roll-out of national retail tenants for locations all over the United States.

• Negotiated and drafted leases on behalf of big box retailers in enclosed malls, strip centers and mixed-use developments.

• Represented and strategized with landlords for the completion of ground leases, anchor store leases, development agreements and big box leases.
• Managed a team of attorneys and paralegals abstracting leases in connection with merger transactions on behalf of landlords and tenants.

• Handled all aspects relating to the sale of property from owners to shopping center retailers, including: purchase and sale documents, development agreements, restrictive covenants, and reciprocal easement agreements.

• Collaborated with opposing counsel to create “master leases” on behalf of national landlords and tenants later used as templates for future leases between the companies.

• Closed joint venture agreement on behalf of mall owner with for capital infusion and equity position in a mall.

• Consummated sale-leaseback transaction for free-standing industrial building by negotiating and drafting all related documents.

• Counseled property management companies and asset managers with respect to lease enforcement matters and all aspects of property ownership.

• Negotiated and advised clients on complex purchase and sale agreements carving out existing parcels from remainder of existing shopping centers, including amending private ordinances among owners.

Closed multi-million dollar transactions on behalf of purchasers and sellers, including purchase and sale agreements, conduit loan agreements, and loan defeasance agreements.

Created CC&R’s for shadow anchor users to provide for the operation of the shopping center as one operating unit with several layers of ownership.

Drafted Restrictive covenants in contemplation of outparcel sales.
